JETBAY Fixed Price Charter Terms & Conditions

These Terms & Conditions apply to all bookings made under JETBAY’s fixed price charter product through our website, app, or any related booking channel.

By submitting a booking request, making payment, providing payment authorisation, or proceeding with a booking, you confirm that you have read, understood, and accepted these Terms.

These Terms should be read together with any applicable Flight Proposal and any separate agreement issued by JETBAY. If there is any inconsistency, the more specific booking terms in the relevant booking document or agreement will prevail, unless otherwise required by law.

1. About JETBAY

JETBAY acts solely as an independent air charter broker and booking platform.

JETBAY does not own, lease, operate, manage, maintain, or control aircraft. All flights are performed by licensed third-party air carriers or operators under their own Air Operator Certificates.

The operating Carrier/Operator is solely responsible for the flight, including aircraft operation, safety, crew, maintenance, scheduling, and regulatory compliance.

To the maximum extent permitted by law, JETBAY is not a contracting carrier or operating carrier. International conventions such as the Montreal Convention or Warsaw Convention may apply to your flight and govern the liability of the Carrier/Operator.

2. Nature of the Fixed Price Charter Product

JETBAY’s fixed price charter product is a structured private aviation offering based on:

  • predefined routes
  • fixed base pricing
  • standard operating assumptions
  • booking by aircraft category only

This is not a bespoke or fully flexible on-demand charter product.

Bookings under this product are subject to a request, aircraft matching, and issuance of a Flight Proposal by JETBAY. The customer will be invited to review the Flight Proposal. The flight is confirmed upon receipt of the Flight Proposal. A booking is not instantly guaranteed before the Flight Proposal is issued.

3. Aircraft Categories

Bookings are made by aircraft category only, not by specific aircraft model, operator, registration, age, livery, interior layout, or onboard feature.

Aircraft within the same category may differ in seating layout, baggage capacity, cabin size, range, onboard amenities, and connectivity.

Available categories include:

  • Light Jets
  • Midsize to Heavy Jets
  • Midsize to Ultra-Long-Range Jets — available only for New York–Miami and Miami–New York routes unless otherwise expressly agreed in writing

JETBAY does not guarantee any specific aircraft model.

4. Aircraft Assignment and Substitution

JETBAY and/or the Carrier/Operator may assign or substitute an aircraft where reasonably required for operational, safety, regulatory, scheduling, airport, owner approval, or availability reasons.

Any substitution may be:

  • within the same aircraft category; or
  • to a higher category at no additional cost

If only a lower category aircraft is available and you agree to the change, JETBAY may, at its discretion, provide a reasonable adjustment, refund, or credit. This will be your sole remedy for that downgrade.

5. Pricing and What Is Included

Unless expressly stated otherwise in writing, the Charter Price includes only:

  • aircraft charter cost within the selected aircraft category
  • operating crew required for the flight
  • standard fuel for the planned routing
  • standard airport charges and standard ground handling directly related to the booked flight
  • passenger taxes and standard mandatory charges based on the passenger count stated at the time of booking

The Charter Price is based on the standard assumptions of the fixed price charter product.

6. What Is Not Included

Unless expressly stated otherwise, the Charter Price does not include non-standard services or variable third-party costs, including but not limited to:

  • itinerary, route, airport, date, or timing changes
  • aircraft de-icing or anti-icing
  • catering beyond the standard onboard offering, if any
  • premium catering, hot meals, special catering requests, caviar, special wines or spirits, or bespoke onboard requests
  • waiting time, ground delay, extended crew duty, crew overnight, or airport overtime charges
  • premium FBO, VIP room, lounge, or special handling charges
  • parking, hangarage, repositioning, ferry, or recovery flights
  • in-flight telephone, Wi-Fi, satellite phone, or connectivity charges
  • excess passengers or baggage
  • pets, special items, or special handling requirements
  • cleaning, restoration, sanitisation, smoke-related cleaning, repair, or damage charges
  • environmental, emissions, noise, EU ETS, or similar regulatory charges
  • any new or increased airport, government, customs, immigration, regulatory, or permit charges imposed after booking

Please note that some aircraft may provide no catering or only light snacks / simple refreshments, and onboard catering may vary depending on the aircraft, operator, route, flight time, and operational circumstances. Requests for upgraded catering or hot meals may be subject to availability and additional cost.

Where applicable, all additional costs are payable by the customer.

Some third-party costs may only be invoiced after the flight has taken place. If so, JETBAY may invoice those charges after the flight, and payment must be made within 30 days of invoice.

7. Passenger and Baggage Limits

Passenger and baggage acceptance is always subject to operational and safety requirements, including:

  • aircraft weight and balance
  • runway performance
  • route limitations
  • weather conditions
  • aircraft capability

JETBAY and/or the Carrier/Operator may require changes, refuse carriage, or decline to operate if declared limits are exceeded or if carriage is not operationally feasible.

Any special, fragile, oversized, or unusual baggage, including pets, golf bags, instruments, or medical equipment, must be disclosed in advance and remains subject to Carrier/Operator approval.

Dangerous or hazardous goods, prohibited weapons, unlawful items, and undeclared special items are strictly prohibited.

8. Booking Process and Confirmation

The booking process is as follows:

payment / payment authorisation → Aircraft Matching Process → Flight Proposal → receipt of Flight Proposal → flight confirmed

All bookings begin as a request and remain subject to aircraft matching until JETBAY issues the applicable Flight Proposal.

The customer must review the Flight Proposal issued for the booking.

Your flight is confirmed upon receipt of the applicable Flight Proposal issued by JETBAY.

For the avoidance of doubt, payment, payment authorisation, or a booking request alone does not confirm a flight. Confirmation occurs only when the Flight Proposal is issued and received.

9. Payment Methods and Cleared Funds

JETBAY may accept the following payment methods from time to time:

  • Credit Card payment
  • Credit Card hold / pre-authorisation (“CC Hold”)
  • Bank transfer
  • Cryptocurrency (USDT / USDC), if accepted by JETBAY

A CC Hold may be used to secure a booking request pending payment arrangements, but it does not by itself constitute receipt of funds.

Where JETBAY allows a booking to proceed on the basis of a CC Hold followed by Bank Transfer, the customer must complete the CC Hold first and then remit the required funds by Bank Transfer within the specified timeframe.

For the purposes of these Terms, payment is only treated as received when JETBAY has actually received the relevant amount in Cleared Funds.

Cleared Funds” means monies received by JETBAY in immediately available funds, free of withholding, reversal risk, chargeback, or deduction.

For the avoidance of doubt:

  • a CC Hold is not Cleared Funds
  • a pending or in-transit Bank Transfer is not Cleared Funds
  • proof of transfer or remittance confirmation is not by itself receipt of funds

Customers are responsible for all Transaction Fees, including payment processing charges, bank fees, card fees, blockchain or network fees, intermediary fees, foreign exchange costs, chargeback costs, and similar third-party payment costs.

10. 48-Hour Departure Condition

The 48-hour period is calculated solely from the time the relevant funds are actually received by JETBAY in Cleared Funds.

It does not run from:

  • the time of booking request
  • the time of submission of a payment form
  • the time of CC Hold completion
  • the time a Bank Transfer is initiated
  • the time proof of payment is sent

If the scheduled departure is more than 48 hours after JETBAY has received Cleared Funds, JETBAY will guarantee that an aircraft within the selected category will be secured, subject to Force Majeure, operational limitations, regulatory requirements, and product availability.

If the scheduled departure is within 48 hours after JETBAY has received Cleared Funds, JETBAY will use commercially reasonable efforts to identify and secure a suitable aircraft, but availability is not guaranteed.

If JETBAY is unable to secure an aircraft, JETBAY’s sole obligation will be to refund the amount of the Charter Price actually received, excluding Transaction Fees and other non-recoverable third-party payment costs.

11. Cancellation

Cancellation terms may vary depending on the Carrier/Operator and the aircraft matched.

The cancellation terms applicable to your booking will be the terms stated in, or attached to, the relevant Flight Proposal, schedule, appendix, or other written notice issued by JETBAY for that booking.

Any cancellation by the customer must be made in writing and will only be effective once acknowledged by JETBAY.

12. No-Show and Passenger Non-Compliance

Failure to:

  • arrive on time
  • present valid documentation
  • comply with customs, immigration, health, sanctions, security, or operational requirements
  • comply with instructions of the Carrier/Operator, crew, or Pilot-In-Command
  • board when instructed

may be treated as a no-show, cancellation, or passenger non-compliance event under the applicable booking terms.

The Carrier/Operator may refuse carriage of any passenger for safety, legal, health, behavioural, security, or operational reasons.

13. Operational Changes and Delays

All flights are subject to the operational control of the Carrier/Operator.

The Carrier/Operator may, without liability:

  • delay, reschedule, or cancel a flight
  • change routing or make technical stops
  • divert the aircraft for safety or operational reasons

Any additional costs arising from such events will be borne by the customer unless caused by JETBAY’s gross negligence.

JETBAY is not liable for indirect, incidental, business, reputational, or consequential losses arising from delays, diversions, substitutions, or operational disruption.

14. Force Majeure

Neither JETBAY nor, where applicable, the Carrier/Operator will be liable for failure, delay, cancellation, or disruption caused by events beyond reasonable control, including but not limited to:

  • adverse weather
  • natural disasters
  • war or terrorism
  • civil unrest
  • strikes or labour disputes
  • airport closures or congestion
  • air traffic control restrictions
  • technical or mechanical issues
  • government or regulatory action
  • sanctions
  • permit or slot unavailability
  • epidemics, pandemics, or quarantine measures

In such circumstances, flights may be delayed, modified, diverted, or cancelled, and additional costs may remain payable by the customer.

15. Limitation of Liability

To the maximum extent permitted by law:

  • JETBAY acts solely as a broker
  • JETBAY is not liable for acts or omissions of the Carrier/Operator
  • JETBAY is not liable for indirect, incidental, business, reputational, or consequential damages
  • JETBAY is not liable for loss of profits, revenue, or opportunity
  • JETBAY’s total liability will not exceed the Charter Price actually paid

Nothing in these Terms excludes liability where such exclusion is not permitted by law.

16. Compliance and Right to Refuse Service

JETBAY may refuse, suspend, or cancel any booking or Flight Services where required to comply with:

  • applicable laws
  • sanctions
  • export controls
  • anti-money laundering requirements
  • know-your-customer procedures
  • safety requirements
  • governmental directives

Flight Services may also be subject to passenger, beneficial ownership, sanctions, and compliance due diligence by JETBAY and/or the Carrier/Operator. If that due diligence is unsatisfactory in the reasonable opinion of JETBAY or the Carrier/Operator, JETBAY may decline to proceed without liability.

17. Third-Party Services

JETBAY is not responsible for the performance, acts, omissions, defaults, or insolvency of third-party service providers, including Carrier/Operators, handlers, airports, caterers, or other service providers involved in the flight.

18. Data Protection and Privacy

JETBAY may collect, use, store, and disclose customer and passenger personal data for the purposes of:

  • arranging Flight Services
  • complying with legal, customs, immigration, and regulatory requirements
  • communicating with Carrier/Operators, handlers, authorities, and relevant service providers

Where reasonably necessary, personal data may be transferred outside Singapore, subject to appropriate safeguards where required by law.

Personal data will be handled in accordance with JETBAY’s Privacy Policy and applicable data protection laws.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore.

Any dispute arising out of or in connection with these Terms or the fixed price charter product shall first be addressed through good faith consultation. If not resolved, the dispute shall be referred to arbitration in Singapore, unless mandatory applicable law requires otherwise.

Nothing in this clause limits any mandatory consumer rights under applicable law.

20. General Provisions

These Terms should be read together with the relevant booking documents issued by JETBAY.

If any provision is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

JETBAY may assign, novate, subcontract, or otherwise transfer its rights or obligations as reasonably required for performance of the Flight Services.

Customers may not assign their rights without JETBAY’s prior written consent.

21. Consumer Rights

Nothing in these Terms limits any mandatory consumer rights available under applicable law.
